Terms of Service

1. Agreement to Terms

By accessing or using the NORDIQ website at nordiqtech.com ("Site"), or by engaging NORDIQ for any services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Site or engage our services.

These Terms apply to all visitors, clients, and anyone who contacts us through this Site.

2. Services

NORDIQ provides custom software development, web and mobile application development, AI and automation solutions, and cybersecurity services ("Services"). The specific scope, deliverables, timeline, and pricing of any engagement are agreed separately in a written Statement of Work ("SOW") or client agreement.

We reserve the right to decline any project at our discretion.

3. Use of This Website

You agree to use this Site only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the Site. You must not:

  • Use the Site in any way that violates applicable local, national, or international laws or regulations.
  • Transmit any unsolicited or unauthorised advertising or promotional material.
  • Attempt to gain unauthorised access to any part of the Site or its related systems.
  • Use automated tools to scrape, crawl, or extract content from the Site without our written consent.

4. Intellectual Property

All content on this Site — including text, design, graphics, logos, and code — is the property of NORDIQ or its content suppliers and is protected by applicable intellectual property laws.

For client projects, intellectual property ownership is governed by the terms of the individual SOW. Unless otherwise agreed in writing, upon full payment of all fees, clients receive full ownership of all custom code and deliverables produced for them. NORDIQ retains the right to use general knowledge, methodologies, and non-confidential concepts gained during the engagement.

NORDIQ may reference completed client work in its portfolio unless the client has explicitly requested confidentiality in writing.

5. Client Responsibilities

Clients engaging NORDIQ for services agree to:

  • Provide accurate, complete, and timely information necessary for the project.
  • Designate a point of contact who has authority to make decisions.
  • Review and provide feedback within agreed timeframes.
  • Ensure they have the legal right to use any content, data, or materials they provide to NORDIQ.

Delays caused by a client's failure to provide materials or feedback may affect delivery timelines and may result in additional costs.

6. Payment

Payment terms are set out in the individual SOW or client agreement. Unless otherwise agreed:

  • Invoices are due within 14 days of the invoice date.
  • Late payments may incur interest at a rate of 5% per month on the outstanding balance.
  • NORDIQ reserves the right to pause or terminate work on projects where payments are overdue.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement. This obligation continues for 2 years after the end of the engagement. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Warranties and Disclaimers

NORDIQ warrants that services will be performed with reasonable skill and care. We do not warrant that deliverables will be error-free or that they will meet every requirement not explicitly documented in the SOW.

This Site and its content are provided "as is" without any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, NORDIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this Site or our Services, including loss of revenue, loss of data, or business interruption.

Our total liability to any client for any claim arising out of or in connection with our services shall not exceed the total fees paid by that client in the 3 months preceding the claim.

10. Termination

Either party may terminate an engagement by giving written notice if the other party materially breaches these Terms or the SOW and fails to remedy the breach within 14 days of written notice. Upon termination, the client shall pay for all work completed up to the termination date.

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be subject to the exclusive jurisdiction of the courts in the jurisdiction where NORDIQ is registered.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a revised "last updated" date. Continued use of the Site after changes constitutes acceptance of the updated Terms.
